1. Acceptance of Terms
By accessing or using the Soqucoin website (soqu.org) and related informational resources (collectively, the "Website"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Website.
2. Eligibility and Scope
2.1 Website Access
The Website provides educational and informational content about Soqucoin, post-quantum cryptography, and related technologies. Access to the Website is open to all users subject to compliance with applicable law in your jurisdiction. There are no geographic restrictions on viewing educational content, whitepapers, or participating in community discussions.
2.2 pSOQ Token Acquisition Restrictions
The pSOQ token is a digital asset that may be subject to regulatory requirements in various jurisdictions. pSOQ tokens are not offered in jurisdictions where the offer, sale, or holding of digital assets or cryptographic tokens is prohibited or restricted by law.
Users are solely responsible for determining their own eligibility to acquire, hold, or trade pSOQ tokens based on applicable laws and regulations in their jurisdiction. By acquiring pSOQ tokens, you represent that you have made this determination and are in compliance with all applicable laws.
2.3 General Representations
By using the Services, you represent and warrant that:
- You are at least 18 years old (or the age of majority in your jurisdiction, if higher)
- You are accessing the Website voluntarily and have the legal capacity to enter into these Terms
- If you acquire pSOQ tokens, you have independently verified your eligibility to do so under Section 2.2
- All information you provide (including wallet addresses and contact information) is accurate and current
3. No Offer or Solicitation
The information on this website, the Soqucoin whitepaper, and the pSOQ addendum does not constitute an offer to sell or a solicitation of an offer to buy any securities, financial instruments, or digital assets in any jurisdiction where such offer or solicitation would be unlawful.
pSOQ is not being offered in any securities offering. pSOQ may be distributed through community programs and liquidity incentives only, subject to eligibility criteria and compliance with these Terms.
4. Experimental Nature and Risks
4.1 pSOQ Utility Token
pSOQ is intended to function as an experimental utility token within the Soqucoin ecosystem. It does not represent equity, debt, or any ownership interest in any entity and does not entitle holders to profits, dividends, or other financial returns.
4.2 No Value Guarantees
pSOQ may lose all value. Any anticipated "peg" or exchange mechanism with SOQ is aspirational only and contingent on future technical implementation, security audits, and regulatory compliance. There is no guarantee that any gateway, peg, or conversion mechanism will be implemented, maintained, or function as described.
4.3 Smart Contract and Technical Risks
- SPL token contracts, cross-chain gateways, oracles, and AMM pools may contain bugs, vulnerabilities, or be subject to exploits
- Solana network congestion, downtime, or forks may affect pSOQ accessibility
- Private key loss or theft results in permanent, irreversible loss of tokens
- The Soqucoin project does not control or operate any third-party infrastructure
4.4 Extreme Volatility
Digital assets are subject to extreme price volatility. pSOQ may experience intraday price swings of ±90% or more, unrelated to Soqucoin's technical development or fundamentals.
4.5 Cryptographic Assumptions
Soqucoin and pSOQ rely on post-quantum cryptographic primitives (ML-DSA-44, lattice-based assumptions) that remain subjects of active cryptanalytic research. Future cryptanalytic or quantum computing advances may compromise these assumptions, potentially resulting in loss of value or security.
5. Third-Party Services
References to third-party platforms (Solana, Wormhole, Raydium, Marginfi, Phantom Wallet, etc.) are for informational purposes only. The Soqucoin project:
- Does not control, operate, audit, or endorse these services
- Is not responsible for their security, availability, performance, or regulatory status
- Makes no warranty regarding their functionality or suitability
Use of third-party services is entirely at your own risk.
6. Prohibited Conduct
You agree not to:
- Use the Services for any illegal purpose or in violation of local, state, national, or international law
- Impersonate any person or entity, or falsely claim affiliation with Soqucoin
- Create, distribute, or promote fake/"scam" tokens purporting to be pSOQ or SOQ
- Attempt to manipulate markets, engage in wash trading, or conduct pump-and-dump schemes
- Interfere with or disrupt the Services or servers/networks connected to the Services
- Collect or harvest user data without authorization
- Use automated tools (bots, scrapers) to access the Services without prior written permission
7. Intellectual Property
The "Soqucoin™," "SOQ™," and "pSOQ™" names, logos, and related branding (the "Marks") are registered trademarks. Unauthorized use, reproduction, or misrepresentation is prohibited.
All source code is licensed under the MIT License. Other content on soqu.org may be protected by copyright, trademark, or other intellectual property rights.
8. Forward-Looking Statements
This website and related documents contain forward-looking statements regarding anticipated timelines, technical implementations, gateway mechanisms, and token economics. These statements are inherently uncertain and subject to change without notice. Actual outcomes may differ materially from those described.
9. No Financial, Investment, Tax, or Legal Advice
Nothing on this website or in related documents constitutes financial, investment, tax, or legal advice. Participation in pSOQ or SOQ involves substantial risk, including total loss of capital. Consult qualified professionals in your jurisdiction before acquiring or transacting in digital assets.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOQUCOIN PROJECT, ITS CONTRIBUTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitation may not apply to you in full.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Soqucoin project, its contributors, developers, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your violation of these Terms
- Your violation of any law or regulation
- Your violation of any third-party rights
- Your use of the Services or participation in pSOQ/SOQ activities
12. Modifications to Terms
The Soqucoin project reserves the right to modify these Terms at any time. We will notify users of material changes via website notice or email (if provided). Continued use of the Services after modifications constitutes acceptance of the updated Terms.
13. Termination
The Soqucoin project may terminate or suspend your access to the Services at any time, with or without cause or notice, including for violation of these Terms.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of [JURISDICTION TO BE DETERMINED], without regard to its conflict of law provisions.
Any disputes arising out of or related to these Terms or the Services shall be resolved through binding arbitration in accordance with [ARBITRATION RULES TO BE DETERMINED], except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy and any other legal notices published by the Soqucoin project, constitute the entire agreement between you and the Soqucoin project regarding the Services.

18. Builders League and Developer Tools
18.1 Educational tools, provided "AS IS"
The Soqucoin software development kits, templates, sample code, documentation, test network ("stagenet"), and faucet (together, the "Builder Tools") are provided for development and educational purposes on a test network, without warranty of any kind. They are pre-release, are not audited for any particular use, and are not production-ready. The software is licensed under the MIT License, which governs the software itself.
18.2 General-purpose infrastructure; no endorsement
The Builder Tools are neutral, general-purpose developer infrastructure. The Soqucoin project does not direct, control, endorse, or assume responsibility for any application, product, or service that you or any third party builds, deploys, or operates using them. Templates and examples illustrate technical patterns only and are not recommendations to pursue any particular business model or use case.
18.3 Your compliance responsibility
You are solely responsible for ensuring that anything you build, deploy, or operate using the Builder Tools complies with all applicable laws and regulations in every relevant jurisdiction, including without limitation: securities and commodities laws; money transmission, money services business (MSB), and electronic-money or payment laws; anti-money-laundering (AML), counter-terrorist-financing, and know-your-customer (KYC) requirements; economic sanctions and export controls (including OFAC); tax law; consumer-protection law; and data-protection and privacy law. Certain activities are heavily regulated and may require licensing or registration, including for example: tokenizing or offering fractional interests in real-world assets, securities, or investment products; operating an exchange, a custodial wallet, or an escrow or custody service; or transmitting funds on behalf of others. You must obtain your own legal, regulatory, financial, and tax advice before launching.
18.4 No advice
Nothing provided through the Builders League or the Builder Tools is legal, regulatory, financial, investment, accounting, or tax advice. The Soqucoin project is not your advisor.
18.5 Prohibited and high-risk uses
You may not use the Builder Tools for any unlawful purpose. The Soqucoin project may decline, suspend, or remove any participant or submission from the Builders League at its sole discretion. Participation confers no right to any grant, payment, listing, or other benefit.
18.6 Grants and recognition
Any Builders League recognition, grant, or perk is discretionary, is not compensation, employment, or an investment, and does not constitute the offer or sale of any security or other regulated instrument.
18.7 Limitation of liability and indemnification
Sections 10 (Limitation of Liability) and 11 (Indemnification) apply in full to the Builder Tools and to anything you build, deploy, or operate using them. To the maximum extent permitted by law, the Soqucoin project has no liability arising from the Builder Tools or from any application you build with them.
By checking the box during airdrop registration or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
